Survé Group Holdings (SGH) holds itself to the standards set out in the King Code of Corporate Governance and, for its listed interests, to the JSE Listings Requirements and the Companies Act.
A Group that claims to put people before profits has to be auditable on that claim. That means independent board committees with real mandates, transparent reporting on transformation as well as financial performance, and consequences that apply to senior people as readily as to junior ones.
Where the Group falls short, it says so and remediates. The governance review concluded in 2026 was published together with the Board’s decision to adopt all of its recommendations in full.
Structures and controls
The Board retains responsibility for strategy, risk appetite and executive appointments, with a majority of non-executive directors and a separation of the Chair and Chief Executive roles.
Chaired by an independent non-executive director, the committee oversees financial reporting, internal and external audit, and the Group risk register.
Mandated to review transformation, employment equity, skills development, environmental impact and stakeholder relations, and to report on them to the Board.
Sets executive remuneration against performance conditions that include transformation and governance measures, and manages Board succession.
Applies to every director and employee across the Group, covering conflicts of interest, gifts and hospitality, anti-bribery, competition law and the treatment of confidential information.
An independently operated, anonymous reporting line is available to employees, suppliers and the public, with a standing protection-from-retaliation commitment.
Raising a concern
Concerns about conduct anywhere in the Group can be raised confidentially and anonymously. Reports are triaged independently of Group management and reported to the Audit and Risk Committee.
